One Person Company Registering Eligibility Criteria

    1. Any individual who is an occupant of India in the former schedule year can form One Person Company. 
    2. The OPC can only have one member.
    3. The name of OPC should be original and distinct from any other company, firm or trademark.
    4. An individual can't consolidate more than one OPC. 
    5. An individual can be a nominee of only one OPC at a time. 
    6. There must be "OPC Private Limited" written at the end of the name. 
    7. A minimum of one director is required.
    8. Indicating the name of another person as a nominee as one of the prerequisites. In case of decease of the owner/subscriber, the nominee becomes the member of the One Person Company.

Documents Required For One Person Company Registration

For SPICe+ Form-

    • Any Identification proof (Aadhar Card, Pan Card, Driving Licence,  etc.) 
    • Office Address proof
    • Identity proof and residential proof of the subscribers and the nominee.

    1. Copy of No Objection Certificate (NOC) from the owner of the property or Rent agreement
    2. Copy of Phone bill, Electricity bill and Current Bank Account Statement
    3. For owned property- Sale Deed 
    • Articles of Association (AOA) and Memorandum of Association (MOA) 
    • Declaration letter by the Directors and Subscribers
    • Consent of nominee in Form INC-3
    • Copy of any Utility bill or Electricity bill (must not be of before 2 months) 
    • Interests of Directors Disclosure and any other document (if necessary).

For AGILE-PRO-

    • Registration certificate of business place
    • A copy of the Board of Directors' Resolution with their identity and address proof, for bank account opening
    • Identity and address proof for ESIC opening and signature of the director or authorised signatory
    • Documents pertaining to the appointment of a GST Authorized Signatory
    • Other required credentials like annual filings, ITR Returns, etc.

For DSC Application

    • Copy of identity proof and address proof

Procedure for One Person Company Registration

The process for registration as One Person Company Registration is as follows-

Step- 1-
DSC Registration: Digital Signature Certificate (DSC) by certifying authority is required for registration as a One Person Company. 

Step- 2-
SPICe+ FORM for registration of name  (Part A): Click on the 'SPICe+' Form under 'MCA Services' to register the name. The name reservation is done through the SPICe+ form that incorporates all the required steps from the name reservation to post- joining compliances.
For the incorporation of an OPC, the applicant must submit the name he or she wishes to reserve. Then, submit 'Part A' for name reservation and incorporation requirements.

Step- 3-
Downloading of SPICe+ (Part B) for Incorporation: The subsequent following step is to download Part B in PDF format in order to complete the related forms, such as:
    • SPICe+AoA is a combination of SPICe and AoA. 
    • AGILE-PRO is an acronym that stands for "agile-professional."
    • INC-9 and URC-1), as well as the "DSC,"

Part B of SPICe+ includes the following services as well-

INC-9 will also be generated automatically depending on the information entered in SPICe+ Part B. These forms can be downloaded after they have been successfully submitted, DSC can be attached to the appropriate form. Limitation of One Person Company
There are few restrictions on One Person Company. Some are as follows-

    • OPC will not be able to convert voluntarily until two years have passed since its incorporation. 
    • Section 8 of the Companies Act prohibits OPC from being established or turned into a company.
    • The One Person Company must not have any minors as members or nominees.
    • An OPC is prohibited from engaging in any non-banking financial investment operations.
    • A share having beneficial interest cannot be held by a minor.
